These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Finendar ("Finendar," "we," "us," or "our"), governing your access to and use of all Finendar websites, mobile applications, services, features, and content (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES. By accessing, browsing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms, you are expressly prohibited from using the Services.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or through other reasonable means. Your continued use of the Services after the effective date of any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for updates.

1. Account Registration and Eligibility

1.1. Account Creation

To access and utilize most features of our Services, you must register for and maintain an active user account. You must be at least thirteen (13) years old to create an account. However, certain features, such as the digital wallet, monetization tools, or specific organizational functionalities (e.g., HR, school management), may require you to be eighteen (18) years or older, or the age of legal majority in your jurisdiction, whichever is higher. By creating an account, you represent and warrant that you meet these age requirements and are legally capable of entering into this agreement.

You agree to provide accurate, current, and complete information during the registration process and to promptly update your account details as necessary to ensure their accuracy and completeness. Finendar reserves the right to suspend or terminate your account if any information provided is found to be false, inaccurate, incomplete, or misleading.

1.2. Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any other authentication information. You are fully responsible for all activities that occur under your account, whether or not you authorized such activities. You agree to notify Finendar immediately of any unauthorized use of your account, any breach of security, or any suspicious activity. We are not liable for any loss or damage arising from your failure to protect your account information.

1.3. User Verification

Finendar may implement various verification processes to enhance the integrity of its "Verified User Network." While these measures aim to build trust and reduce fraudulent activity, Finendar does not guarantee the identity, authenticity, or background of any user. You acknowledge and agree that your interactions with other users on the platform are at your own risk, and you should exercise caution and use your best judgment.

2. User Conduct and Prohibited Activities

You agree to use the Services in a manner consistent with all applicable local, national, and international laws, regulations, and these Terms. You are solely responsible for your conduct and any content, data, or information you submit, post, display, or transmit on or through the Services ("User Content"). The following activities are strictly prohibited:

  • Illegal Activities: Using the Services to promote, engage in, or facilitate any illegal act, including, but not limited to, fraud, money laundering, terrorism, or any activity that violates the laws of Nigeria or your local jurisdiction.
  • Harmful Content: Posting or transmitting any User Content that is defamatory, libelous, harassing, abusive, threatening, obscene, pornographic, vulgar, hateful, racially or ethnically offensive, or otherwise objectionable.
  • Hate Speech & Discrimination: Promoting or glorifying violence, hate speech, discrimination (based on race, ethnicity, religion, gender, sexual orientation, disability, etc.), or any form of illegal discrimination.
  • Spam & Unsolicited Communications: Distributing unsolicited commercial advertisements, chain letters, pyramid schemes, or any form of "spam." Engaging in phishing, pharming, or other malicious activities designed to trick users into revealing personal information.
  • Impersonation: Impersonating any person or entity, including a Finendar employee, official, or another user, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Intellectual Property Infringement: Posting, sharing, or transmitting any User Content that infringes on the copyrights, trademarks, patents, trade secrets, or other intellectual property rights of others.
  • Privacy Violations: Collecting, storing, or disclosing personal information about other users without their express consent.
  • Security Breaches & Technical Misuse: Attempting to probe, scan, or test the vulnerability of any Finendar system or network. Interfering with or disrupting the integrity or performance of the Services, including introducing viruses, worms, Trojan horses, or other malicious code. Attempting to gain unauthorized access to any part of the Services, other user accounts, or computer systems.
  • Misuse of Specialized Tools: Using Finendar's specialized tools (e.g., Election & Polling System, Secure School & HR Tools) for purposes other than their intended function, or to deceive, manipulate, or harm individuals or organizations. This includes, but is not limited to, manipulating election results, misrepresenting HR data, or misusing student records.

Finendar reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending User Content from the Services, reporting such conduct to law enforcement authorities, and terminating the accounts of such violators. Your use of the platform and its tools must comply with the laws of your primary location and the jurisdiction where your audience is located. You are solely responsible and liable for any failure to comply with these laws.

3. Content Ownership and License

3.1. Your Content

You retain all ownership rights in any intellectual property you hold in the User Content you submit, post, or display on or through the Services. However, by submitting User Content, you grant Finendar a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit Your Content in connection with the Services and Finendar's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels. This license includes the right to use your name, likeness, and voice, if applicable, in connection with your User Content.

You represent and warrant that: (i) you own the User Content submitted by you or otherwise have the right to grant the license set forth in this Section, and (ii) the posting and use of your User Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person.

3.2. Finendar's Content

All content and intellectual property on the Services, excluding User Content, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation of all content on this site, is the property of Finendar or its content suppliers and protected by international copyright laws. You may not copy, modify, distribute, sell, or lease any part of our Services or content without our explicit written permission.

3.3. Digital Millennium Copyright Act (DMCA) / Copyright Policy

Finendar respects the intellectual property rights of others and responds to notices of alleged copyright infringement in accordance with the DMCA. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Services, please notify Finendar’s copyright agent as set forth in the DMCA. For your complaint to be valid under the DMCA, you must provide the following information in writing:

  • An electronic or physical signature of a person authorized to act on behalf of the copyright owner.
  • Identification of the copyrighted work that you claim has been infringed.
  • Identification of the material that is claimed to be infringing and where it is located on the Services.
  • Information reasonably sufficient to permit Finendar to contact you, such as your address, telephone number, and email address.
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law.
  • A statement, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

4. Finendar’s Digital Wallet and Monetization

4.1. General

Finendar provides an integrated digital wallet and monetization features (e.g., Live Battles, Exclusive Gifts, in-app purchases, peer-to-peer payments) to facilitate financial transactions within the Services. **FINENDAR IS NOT A BANK, MONEY TRANSMITTER, OR FINANCIAL INSTITUTION.** All digital wallet services are provided through a third-party payment processor. By using these features, you acknowledge and agree that you are subject to the terms and conditions of such third-party payment processor in addition to these Terms. Finendar is not responsible for the acts or omissions of any third-party payment processor.

4.2. KYC/AML Compliance

To comply with Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations, Finendar or its third-party payment processor may require you to provide additional personal information, including but not limited to, government-issued identification, proof of address, and other financial details. You agree to cooperate fully with these requests and understand that failure to do so may result in the suspension or termination of your digital wallet access and/or account.

4.3. Prohibited Financial Conduct

Monetization features are intended for legitimate transactions and creator support. You agree not to use the digital wallet or any monetization feature for any fraudulent, illegal, or malicious purposes, including, but not limited to, money laundering, funding illegal activities, or engaging in deceptive practices. Any attempt to manipulate our payment systems, defraud other users, or engage in any form of financial misconduct will result in the immediate and permanent termination of your account, forfeiture of all associated funds, and may be reported to relevant law enforcement and regulatory authorities.

4.4. Fees and Chargebacks

Finendar may charge fees for certain transactions, withdrawals, or services related to the digital wallet, which will be clearly disclosed to you prior to your initiation of such transactions or use of services. In the event of a chargeback or reversal of a transaction, Finendar reserves the right to debit your account for the amount of the chargeback plus any associated fees, penalties, or administrative costs incurred by Finendar or its payment processor.

4.5. No Refunds

All transactions made through the digital wallet, including purchases of digital gifts, in-app items, or payments to other users, are final and non-refundable unless explicitly stated otherwise by Finendar or required by applicable law. You are responsible for verifying the accuracy of all transaction details before confirming a payment.

4.6. Tax Responsibilities

You are solely responsible for all taxes, duties, and levies associated with any income or earnings derived from your use of Finendar's monetization features. Finendar will not be responsible for calculating, collecting, or remitting any taxes on your behalf.

5. Specialized Organizational Tools

5.1. Secure School & HR Tools

Finendar provides tools for school and HR management, including features for managing student records, staff databases, leave requests, attendance, and assessments. If you are an organization (e.g., school, company) utilizing these tools, you are solely responsible for:

  • Ensuring compliance with all relevant data privacy laws and regulations (e.g., FERPA, GDPR, local data protection acts) regarding the collection, storage, and processing of personal data (including sensitive data of students and employees).
  • Obtaining all necessary consents from individuals whose data you process through the Services.
  • Maintaining the accuracy, integrity, and confidentiality of all data uploaded or managed through these tools.
  • Implementing appropriate internal policies and procedures for data access and security.

Finendar acts as a data processor for the data you manage through these tools and will process such data in accordance with our Privacy Policy and any specific data processing agreements entered into with your organization.

5.2. Election & Polling System

Finendar offers an Election & Polling System for conducting secure digital elections for schools, clubs, communities, and other organizations. If you are using this system, you are responsible for:

  • Ensuring the fairness, transparency, and integrity of your elections conducted through the platform.
  • Complying with all applicable electoral laws, regulations, and organizational bylaws.
  • Verifying the eligibility of voters and candidates.
  • Managing and communicating election rules and procedures to participants.

Finendar provides the technical infrastructure but is not responsible for the conduct or outcome of any election or poll run by users. Any manipulation or attempt to subvert the integrity of the voting process will result in immediate action, including account termination and reporting to relevant authorities.

6. Third-Party Services and Links

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by Finendar. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Finendar shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

7. Disclaimers and Limitation of Liability

7.1. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. FINENDAR, ITS AFFILIATES, LICENSORS, AND SUPPLIERS DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, RELIABLE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

7.2. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FINENDAR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF FINENDAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES. THIS INCLUDES DAMAGES RESULTING FROM:

  • The use or inability to use the Services.
  • Unauthorized access to or alteration of your transmissions or data.
  • Statements or conduct of any third party on the Services.
  • Any other matter relating to the Services.

IN NO EVENT SHALL FINENDAR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS, DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FINENDAR IN THE PAST TWELVE (12) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS (US$50.00).

8. Indemnification

You agree to indemnify, defend, and hold harmless Finendar and its affiliates, officers, directors, agents, employees, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with:

  • Your access to or use of the Services.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights or privacy rights.
  • Your breach of any applicable law or regulation.

9. Dispute Resolution and Governing Law

9.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles. You are solely responsible for compliance with all local laws and regulations applicable to you.

9.2. Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Lagos, Nigeria, before a single arbitrator. The arbitration shall be administered by a mutually agreed-upon arbitration institution, or if no agreement is reached, by the Lagos Court of Arbitration, in accordance with its rules then in effect. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

9.3. Class Action Waiver

YOU AND FINENDAR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Finendar agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

10. Termination of Services

Finendar may, in its sole discretion, suspend or terminate your account or your access to all or any part of the Services at any time, for any reason, with or without notice, including, but not limited to:

  • Breach of these Terms or any other Finendar policy.
  • Prolonged account inactivity.
  • Engaging in any activity that is harmful to Finendar, its users, or third parties.
  • Compliance with a legal obligation or governmental request.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Miscellaneous Provisions

11.1. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Finendar on the Services, constitute the entire agreement between you and Finendar concerning the Services.

11.2. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

11.3. Non-Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Finendar's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

11.4. Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Finendar without restriction.

11.5. Headings

The headings and subheadings in these Terms are for convenience only and shall not affect their interpretation.
